Terms of Sale and Delivery

These terms apply to offers, orders, sales and deliveries from Merser Pumps unless otherwise agreed in writing.

Special project terms, customer framework agreements or mandatory law may take precedence where applicable.

Offers are based on the information received from the customer, including product reference, drawings, requested quantity, application and delivery requirement.

An offer is valid only for the period stated in the offer. If no period is stated, validity must be confirmed by Merser Pumps.

The customer is responsible for providing correct operating data and installation information.

Merser Pumps may rely on drawings, part references and other technical material supplied by the customer when identifying a product or spare part.

Prices are stated in the currency and format shown in the offer and exclude taxes, duties, freight, insurance, customs charges and similar costs unless otherwise stated.

Prices may be adjusted if assumptions, specifications, material costs or delivery requirements change before order confirmation.

An order is binding when confirmed by Merser Pumps in writing.

The customer must review the confirmation and notify Merser Pumps promptly if any detail is incorrect.

Delivery times are based on stock, production capacity, supplier availability and freight options at the time of confirmation.

Fast delivery may be available for many spare parts, but exact timing depends on the specific part, destination and logistics conditions.

Risk transfers according to the agreed delivery term.

If no delivery term is agreed, the applicable default term must be confirmed in the final legal version.

Payment terms must be stated in the offer or invoice.

Late payment may lead to interest, reminder fees, withheld delivery or other remedies allowed by law and the agreed terms.

Returns require prior written acceptance from Merser Pumps.

Specially manufactured items, ordered-in parts and used or damaged goods may not be returnable unless required by law or agreed in writing.

Warranty terms depend on the product, the agreed delivery and applicable law.

The customer must inspect delivered goods and notify Merser Pumps promptly of visible defects, missing items or transport damage.

Liability should be limited to the extent allowed by law and the final approved terms.

Merser Pumps should not be responsible for indirect loss, operating loss, loss of profit or consequential loss unless mandatory law states otherwise.

Merser Pumps is not liable for delay or non-performance caused by circumstances outside reasonable control.

This may include supplier failure, transport disruption, shortage of materials, labour conflict, fire, natural events, war, sanctions, authority action or serious IT incidents.

Drawings, calculations, technical documents and know-how supplied by Merser Pumps remain the property of Merser Pumps unless otherwise agreed.

Such material must not be copied, shared or used for other purposes without permission.

The governing law and dispute venue must be confirmed in the final approved version.

Until confirmed, this section remains a placeholder for legal review.

The customer is responsible for ensuring that goods are used and transferred in accordance with applicable export, sanctions and safety rules.

Merser Pumps may reject or stop a delivery if legal or compliance concerns arise.
